Any billing disputes must be raised within 30 days of the invoice date. We will investigate and resolve disputes in good faith.

As a client, you are responsible for:

  • Ensuring compliance with all applicable laws and regulations
  • Maintaining adequate insurance coverage
  • Timely payment of fees
  • Providing necessary access and cooperation
  • Ensuring products meet safety and quality standards

8. Intellectual Property

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

14. Termination

Either party may terminate the service relationship in accordance with the terms specified in the relevant service agreement. Upon termination:

  • You remain liable for all fees incurred up to the termination date
  • We will return your inventory and materials as agreed
  • Confidential information obligations continue
  • You must collect any remaining inventory within 30 days

15. Confidentiality

Both parties agree to maintain the confidentiality of any confidential information shared during the course of our business relationship. This obligation survives termination of our services.

16. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

  1. Direct negotiation in good faith
  2. Mediation if negotiation fails
  3. Litigation in the courts of England and Wales if mediation is unsuccessful

17. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Witty Hue regarding our services.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
